Terms of Service

These terms form the agreement between you and Invoots for your use of Invoots. Please read them — by creating an account you agree to them.

Last updated: 11 October 2026

1. About these terms

Invoots is a service provided by Invoots, a business established in the United Kingdom. In these terms, “we”, “us” and “our” mean the operator of Invoots; “you” means the person or business using the service.

By creating an account, or by using Invoots, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the service.

If you are agreeing on behalf of a company, you confirm you have authority to bind that company, and “you” means that company.

2. Your account

  • You must be at least 18 years old and provide accurate registration details, keeping them up to date.
  • You are responsible for keeping your password secure and for all activity that happens under your account. Tell us promptly at info@invoots.com if you suspect unauthorised access.
  • You are responsible for the people you invite into your companies and for the permissions you grant them. Removing someone’s access is your responsibility when they should no longer have it.
  • One account is for one person. Do not share login credentials — add additional users instead.

3. Acceptable use

You agree not to:

  • Use Invoots for anything unlawful, fraudulent, or in breach of tax, accounting or company law, including keeping deliberately false records.
  • Attempt to gain unauthorised access to the service, other users’ data, or any underlying system or network; or probe, scan or test the vulnerability of our systems without our written permission.
  • Reverse engineer, decompile or attempt to derive the source code of the service, except to the extent that restriction is prohibited by law.
  • Introduce malware, or use the service to distribute spam or unsolicited messages.
  • Copy, resell, sublicense or make the service available to third parties as your own product.
  • Place unreasonable load on the service, including automated scraping or bulk requests outside any API we provide, or circumvent rate limits or usage limits.
  • Upload content you have no right to upload, or that infringes someone else’s rights.

We may suspend or terminate access immediately for a serious or repeated breach of this section.

4. Your data

You keep all ownership of the data you enter into Invoots. We claim no rights over your books, customers, suppliers or financial records.

You grant us a limited licence to host, store, transmit, back up and display that data strictly as needed to provide the service to you and to comply with the law. We handle it as described in our Privacy Policy.

You are responsible for the accuracy and lawfulness of the data you enter, including having a proper basis for holding personal data about your own customers, suppliers and staff.

You can export your data from within the application at any time while your account is active. We recommend keeping your own copies.

5. Not accounting or tax advice

Invoots is software, not an accountant, and nothing in the service is accounting, tax, legal or financial advice. Reports, VAT figures and other outputs are generated from the data you enter, and their accuracy depends entirely on the accuracy and completeness of that data.

You remain solely responsible for your statutory obligations, including the accuracy and timely filing of VAT returns, annual accounts and any other submissions to HMRC or Companies House. Check your figures, and take advice from a qualified accountant where appropriate.

6. Availability and changes

We work to keep Invoots available and reliable, but we do not guarantee uninterrupted or error-free service. Access may be unavailable during planned maintenance, which we aim to schedule outside UK business hours, or because of faults, third-party outages or events beyond our reasonable control.

We may add, change or remove features as the product develops. If we make a change that materially reduces core functionality you rely on, we will give you reasonable notice by email.

7. Fees

Where a plan is chargeable, the fees, billing period and any trial are those shown at the point you subscribe. Fees are stated in pounds sterling and are exclusive of VAT unless stated otherwise.

Subscriptions renew automatically for successive periods unless cancelled before the renewal date. You can cancel at any time, taking effect at the end of the current billing period. We will give at least 30 days’ notice by email before changing recurring prices.

If payment fails we may suspend access after notifying you and allowing a reasonable period to fix it. Your data is retained during a suspension in line with our retention policy.

8. Liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to that, and to the extent permitted by law, we are not liable for: loss of profits, revenue, business, goodwill or anticipated savings; loss or corruption of data to the extent it results from your own failure to maintain reasonable backups; any penalty, interest or assessment imposed by a tax authority arising from data you entered or submissions you made; or any indirect or consequential loss.

Subject to the first paragraph of this section, our total aggregate liability arising out of or in connection with these terms, in contract, tort (including negligence) or otherwise, is limited to the greater of the total fees you paid us in the 12 months before the event giving rise to the claim, or £100.

Except as expressly stated, the service is provided “as is” and we exclude all implied warranties to the extent permitted by law. These terms are for business users; if you are a consumer, your statutory rights are unaffected.

9. Suspension and termination

You may stop using Invoots and close your account at any time from your account settings, or by contacting us.

We may suspend or terminate your access if you materially breach these terms, if we are required to by law, or if your use poses a security risk to the service or other users. Where circumstances allow, we will warn you first and give you the chance to put things right.

On termination your right to use the service ends immediately. Export your data beforehand — after closure we delete or anonymise it as set out in the Privacy Policy.

10. Changes to these terms

We may update these terms from time to time. The date at the top of this page shows when they were last revised. For material changes we will give account holders reasonable notice by email or in the application before they take effect. Continuing to use Invootsafter that point means you accept the updated terms.

11. General

These terms, together with the Privacy Policy, are the entire agreement between us regarding the service. If any provision is found unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these terms without our consent; we may transfer ours as part of a reorganisation or sale of the business.

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, save that we may bring proceedings to protect our intellectual property in any appropriate jurisdiction.
